While best practices and professional standards are applied, no specific outcomes or results are guaranteed, including but not limited to revenue growth, conversion rates, or marketing performance.

Client Responsibilities

Clients agree to:

  • Provide accurate and timely information

  • Supply required brand assets, content, and access

  • Review and approve work within reasonable timeframes

Delays caused by missing information or approvals may impact timelines.

Payments

  • All fees are due as outlined in the applicable agreement or invoice.

  • Late payments may result in paused work or termination of services.

  • Prices and rates are subject to change with notice.

Intellectual Property

Unless otherwise agreed in writing:

  • Clients retain ownership of their provided materials and brand assets.

  • Happen Services retains ownership of internal processes, frameworks, and methods.

  • Final deliverables are licensed to the client for business use upon full payment.

Limitation of Liability

To the fullest extent permitted by law, Happen Services shall not be liable for indirect, incidental, or consequential damages arising from the use of services or the website.

Termination

Either party may terminate services in accordance with the applicable agreement. Outstanding balances remain payable upon termination.

Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.

Changes

Happen Services reserves the right to update these Terms at any time. Continued use of the website constitutes acceptance of any changes.
